An individual may invest directly with those businesses as an angel investor, mezzanine funding, preferred stock position or other investment vehicle.
Angel Investor: Angel investors are high net worth individuals with the ability to provide large amounts of venture capital into early stage projects. They may have considerable past experience in the technology, its markets, and/or in early stage venture commercialization.
Mezzanine Funding or Financing: Although usually provided by specialist financial institutions, it may be also provided via individual, accredited investors, and in a form that is neither pure equity nor pure debt. It can take many different forms and can be secured or unsecured, it usually earns a higher rate of return than pure debt but less that equity. Conversely, it carries a higher risk than pure debt, although less than equity. It is often used in management buy-outs.
Preferred Stock: A security that shows ownership in a corporation and gives the holder a claim, prior to the claim of common stockholders, on earnings and also generally on assets in the event of liquidation. Most preferred stock pays a fixed dividend that is paid prior to the common stock dividend, stated in a dollar amount or as a percentage of par value. This stock does not usually carry voting rights. Preferred stock has characteristics of both common stock and debt. CSG assists companies to offer this stock directly to accredited investors.
